Terms of Service

By accessing or using the services provided by ZRC Textile Co., Ltd. ("ZRC," "we," "us," or "our"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, please do not use our services.

These Terms apply to all visitors, users, buyers, distributors, and others who access or use our B2B manufacturing, OEM/ODM services, product customization, wholesale supply, and related business services.

ZRC Textile provides B2B manufacturing services including but not limited to:

• OEM/ODM product development and manufacturing
• Custom sports training equipment production
• Private label and buyer label services
• Wholesale supply for brands, distributors, and importers
• Sample development and product customization

Our services are intended for business customers only. We do not sell directly to individual consumers or end-users.

All quotations provided by ZRC are valid for 30 days unless otherwise stated. Prices are subject to change based on material costs, production volume, customization requirements, and market conditions.

Orders are confirmed only after:

• Written order confirmation from both parties
• Receipt of deposit payment (if required)
• Confirmation of product specifications, materials, and delivery terms

Minimum order quantities (MOQ) apply to most products and will be communicated during the quotation process.

Payment terms are negotiated on a case-by-case basis. Standard payment terms include:

• Deposit payment (typically 30-50%) before production begins
• Balance payment before shipment or upon delivery
• Payment methods: T/T, L/C, or other mutually agreed methods

Late payments may result in production delays or order cancellation. Additional fees may apply for overdue payments.

ZRC Textile maintains strict quality control processes including raw material inspection, in-line production inspection, and final product inspection before shipment.

Buyers have the right to:

• Request pre-shipment inspection by a third-party agency
• Receive production samples for approval before mass production
• Report quality issues within 7 days of receiving goods

Claims for defective products must be supported by photographic evidence and detailed descriptions. We will work with buyers to resolve quality issues through replacement, repair, or credit as appropriate.

Delivery terms are agreed upon before production begins. Common terms include FOB, CIF, and EXW.

Production lead times vary based on order quantity, product complexity, and current production schedule. Typical lead times range from 15 to 45 days after order confirmation.

Shipping delays caused by force majeure, customs clearance, logistics disruptions, or other factors beyond our control are not the responsibility of ZRC Textile.

All product designs, technical drawings, samples, and proprietary information provided by buyers remain the property of the buyer. ZRC Textile will not disclose or use such information for purposes other than fulfilling the agreed order.

Buyers are responsible for ensuring that their product designs, logos, and branding do not infringe on third-party intellectual property rights. ZRC Textile is not liable for any IP infringement claims arising from buyer-provided designs.

ZRC Textile retains ownership of its manufacturing processes, production methods, and general product development knowledge.

ZRC Textile's liability is limited to the value of the defective products. We are not liable for:

• Indirect, incidental, or consequential damages
• Loss of profits, revenue, or business opportunities
• Damages caused by improper use, storage, or handling of products
• Claims arising more than 30 days after delivery

Both parties agree to maintain confidentiality of all business information, product specifications, pricing, and trade secrets shared during the course of business.

Confidential information may not be disclosed to third parties without prior written consent, except as required by law or for fulfilling the order (e.g., sharing specifications with material suppliers).

Either party may terminate the business relationship with written notice. However, existing orders must be fulfilled or cancelled according to mutually agreed terms.

ZRC Textile reserves the right to refuse service or cancel orders in cases of:

• Non-payment or payment default
• Fraudulent activity or misrepresentation
• Violation of these Terms of Service
• Requests that violate laws or regulations

Any disputes arising from these Terms or business transactions shall be resolved through good-faith negotiation between the parties.

If negotiation fails, disputes shall be resolved through arbitration in accordance with the laws of the People's Republic of China, with arbitration taking place in Guangdong Province.

ZRC Textile reserves the right to modify these Terms at any time. Updated Terms will be posted on our website with the revision date. Continued use of our services after changes constitutes acceptance of the updated Terms.

For significant changes affecting existing orders, we will notify customers directly via email or other agreed communication channels.
